Bennett Jones, ranked as one of Canada’s Best Employers for 24 years and recognized as a premier business law firm, is seeking a Senior Paralegal to join its Corporate Services Department in Montreal. The firm, with offices across Canada and New York, has been advising clients on complex transactions, litigation, and corporate matters since 1922.
In this role, you will work closely with lawyers and clients on a wide array of corporate services, including incorporations, reorganizations, mergers and acquisitions, and corporate governance. You will play a key role in drafting and reviewing corporate legal documents, maintaining corporate records, coordinating regulatory filings, and conducting due diligence. You will also mentor junior paralegals and legal assistants, fostering professional development and knowledge-sharing within the team.
Key Responsibilities:
Independently draft and review legal documentation for corporate transactions, such as resolutions, minutes, share certificates, and corporate registers.
Conduct due diligence and prepare closing agendas and supporting documents for reorganizations and transactions.
Maintain and update corporate records, ensuring compliance with provincial and federal regulations.
Coordinate and file corporate documents with regulatory bodies such as Corporations Canada and the Registraire des entreprises du Québec.
Conduct corporate and legal searches across databases, including Québec Enterprise Registrar, SOQUIJ, Corporations Canada, RPMRR, and the Québec Land Registry.
Review and update minute books, prepare reports, and draft corrective resolutions.
Support lawyers in managing client relationships by responding to inquiries and ensuring timely service delivery.
Mentor and guide junior paralegals and legal assistants, fostering team growth and knowledge-sharing.
Qualifications:
Bilingual proficiency in French and English (written and spoken). More than 50% of responsibilities are performed in English, requiring strong command in both languages.
Diploma of College Studies (D.E.C.) in Paralegal Technology or a Certificate in Law.
5–8 years of corporate paralegal experience.
Strong legal research skills and knowledge of corporate registrations.
Ability to review and analyze legal documents for accuracy and compliance.
Proficiency in Microsoft Office Suite and other relevant computer applications.
Strong organizational skills with ability to handle multiple priorities and meet deadlines with accuracy.
High professionalism, discretion, and client-oriented approach.
Strong interpersonal and communication skills with the ability to work independently and collaboratively.
