The successful candidate will be involved in sophisticated corporate finance transactions, including public offerings, private placements, mergers & acquisitions, compliance with securities regulations, continuous disclosure obligations, and more.

You will be expected to bring strong foundational legal training, excellent communication and drafting skills, and a proactive, business-oriented approach to supporting clients across diverse industries. Key Responsibilities:

• Participate in structuring, negotiating, and drafting legal documents for complex securities and corporate finance transactions.

• Advise clients on compliance with securities regulations and corporate governance matters.

• Assist in the preparation of disclosure documents such as prospectuses and continuous disclosure filings.

• Conduct legal research, due diligence, and risk assessments for transactions.

• Collaborate with senior lawyers, clients, and stakeholders to ensure timely and effective delivery of legal services.

Qualifications Required:

• 2 to 3 years of post-call experience in securities or corporate law, ideally within a major law firm.

• Strong academic background and solid legal training.

• Demonstrated ability to handle complex transactional work with minimal supervision.

• Excellent drafting, analytical, and communication skills.

• Willingness to learn, take initiative, and contribute to a team-oriented practice.
