Legal Counsel

Description:

OpenText, a global leader in information management and digital transformation, is seeking a Commercial Legal Counsel to join its in-house legal team supporting the Americas region. This role focuses on drafting and negotiating complex commercial technology agreements, advising on legal risks, and supporting strategic initiatives that improve efficiency without increasing risk.

As a trusted advisor, you will collaborate with cross-functional teams, contribute to legal process improvements, and provide practical, business-focused legal guidance in a fast-paced, global environment.

Key Responsibilities:

• Draft, review, and negotiate a variety of commercial agreements including cloud services agreements, software licenses, and professional services contracts.

• Act as a business partner and legal advisor to internal stakeholders.

• Resolve commercial disputes and advise on new go-to-market strategies.

• Support the development of templates, processes, and tools to reduce contract cycle time.

• Provide training on legal issues and contracting best practices.

• Monitor changes in relevant laws and regulations affecting the business.

• Participate in strategic legal and business initiatives across the organization.

Qualifications:

• Juris Doctor with active legal license in Canada or the U.S. (Ontario preferred for Canada).

• Minimum 4 years of relevant legal experience in technology-related contract negotiations.

• Strong understanding of cloud/SaaS, software licensing, and IT sector transactions.

• Excellent written and verbal communication skills.

• Ability to work independently, balance multiple priorities, and collaborate across teams.
