Our client, a world-leading clean energy producer, is looking for 2 strategic and experienced corporate/ commercial lawyers to join its team as Assistant General Counsel and Legal Counsel/Sr. Legal Counsel. Reporting to the General Counsel, your expertise will directly support major infrastructure projects and innovative energy solutions. You’ll tackle high-profile, complex legal matters in a dynamic, highly regulated environment, collaborating with industry leaders and government partners.
Your responsibilities will include:
- Providing legal advice and counsel on corporate/commercial law issues, including procurement, construction, finance, environmental, and other areas of law as needed
- Acting as a strategic business partner, providing advice to senior management
- Ensuring compliance with all relevant laws, regulations, and policies.
- Maintaining effective communication and reporting with stakeholders.
- Commercial Contracting: Reviewing, drafting, and negotiating project agreements, construction contracts, operations & maintenance contracts, design services agreements, master services agreements, equipment supply agreements, fuel supply agreements, lease agreements, sub-lease agreements, licence (access) agreements, IT-related agreements, renewals, amendments, purchase orders, and related documents.
- Financial Services and Project Finance: Leading or advising on new debt or project finance matters; assisting finance with covenant compliance and reporting for existing debt and bond facilities; supporting renewals or amendments.
- Construction Law: Advising on Construction Law and related matters, including Ontario Construction Act, holdback and substantial completion regime, performance bonding, labour & materials bonding, letters of credit, and other performance security instruments.
- Corporate Law: Structuring and negotiating teaming agreements, joint venture agreements, partnership agreements, shareholders' agreements, and related corporate matters; and general corporate compliance, including board and shareholders' resolutions.
- Dispute Resolution: Early-stage contractual analysis, drafting position papers, demand and forbearance letters, participating in settlement negotiations, drafting and negotiating settlement and release agreements.
You are the ideal candidate if you have/are:
- Assistant General Counsel: 8-10+ years (more experience welcomed!) and Legal Counsel/Sr. Counsel: 4-8 years of corporate/commercial law experience obtained as in-house counsel and/or in private practice with exposure to energy, infrastructure, or regulated industries.
- JD/LL.B. and are a member in good standing of the Law Society of Ontario
- A strong track record in complex commercial matters, finance transactions, and mergers and acquisitions.
- Demonstrated expertise in drafting, negotiating, and managing high-value, complex contracts, including construction contracts, master service agreements, and service-level agreements.
- Familiarity with the Ontario energy market, regulatory frameworks, and industry-specific agreements. Ability to advise on compliance, permitting, and environmental regulations affecting nuclear and energy projects.
- A strategic and analytical thinker with a proven ability to analyze complex legal issues, assess risk, and develop practical, business-oriented solutions for company-wide challenges.
- Excellent communication and presentation skills, and are comfortable presenting legal issues to large groups and senior executives, both internally and externally.
- Able to translate complex legal concepts into clear, actionable advice for diverse audiences.
- Knowledge and experience working in a Regulatory environment, Indigenous Nations or environmental law is an asset
- Strong relationship management skills and the ability to relate and effectively communicate with all levels, including senior management and external stakeholders
- The ability to work in a team environment and to prioritize work and effectively manage multiple competing priorities
- Flexible and willing to expand into new areas of practice as needed.
