Our client is seeking a highly experienced Senior Corporate Services Law Clerk to join their Team. The ideal candidate will be responsible for independently managing complex corporate matters and serving as a senior technical resource to lawyers and colleagues. This role requires deep subject-matter expertise, sound judgment, and the ability to operate with a high degree of autonomy while contributing to the overall strength, efficiency, and sophistication of the Corporate Services team. Summary of Duties & Responsibilities:
- Independently manages complex corporate records and transactions for Ontario and Federal corporations;
- Prepares, reviews, and files documentation in Ontario and extra-provincially under applicable legislation, including the Corporations Information Act (Ontario), Extra-Provincial Corporations Act (Ontario), Limited Partnerships Act (Ontario), and other relevant provincial and federal statutes;
- Handles incorporations, organizations, continuances, amalgamations, dissolutions, wind-ups, and restructurings with minimal supervision;
- Drafts sophisticated corporate authorizing resolutions and documentation for routine and complex corporate proceedings;
- Works closely with corporate lawyers on asset and share transactions, reorganizations, and other strategic matters, ensuring accuracy and timeliness of all supporting documentation;
- Proactively monitors compliance requirements and filing deadlines, identifying risks and proposing solutions where necessary;
- Maintains strong familiarity with client structures and files, communicating directly with clients and external service providers as appropriate;
- Acts as a senior technical resource within the Corporate Services group, providing guidance and sharing best practices with junior clerks and assistants;
- Contributes to the ongoing refinement of corporate services processes, technology utilization, and workflow efficiency.
Core Skills & Qualifications:
- Graduate of a Law Clerk Program with a minimum of 10+ years’ Corporate Commercial and/or Securities experience in a law firm environment;
- Advanced and current knowledge of Ontario and Federal corporate and partnership legislation;
- Demonstrated ability to manage complex matters independently and exercise sound professional judgment;
- Advanced technical proficiency with Word, Excel, ALF, ELITE, and corporate database systems;
- Exceptional drafting skills and meticulous attention to detail;
- Strong organizational and time management abilities, with the capacity to prioritize and manage high-volume and high-complexity work;
- Confident communicator with strong interpersonal skills and a client-service mindset;
- Practical, solutions-oriented problem solver with the ability to anticipate issues before they arise;
