Description:
We are looking for an experienced Corporate Law Clerk to join Bridge Park Counsel and take ownership of a broad corporate and transactional law clerk portfolio.
This is a hybrid role based in the GTA. We are open to flexible arrangements, including a four-day work week, for the right candidate.
You will support a wide range of corporate matters, including:
- Acting as a key point of contact for corporate secretarial matters, including responding to client and internal requests with judgment and professionalism
- Supporting M&A transactions, including managing closing agendas, tracking deliverables, coordinating signatures, preparing closing books, and keeping transactions moving from initial instruction through to closing
- Preparing and managing incorporations, amendments, amalgamations, continuances, dissolutions, extra-provincial registrations, and related filings
- Conducting minute book reviews and preparing rectification, maintenance, and remedial corporate documents
- Preparing documentation for share transfers, director and officer changes, share provisions, reorganizations, and other corporate changes
- Maintaining legal entity management software, corporate records, and minute books
- Supporting tax reorganizations, corporate restructurings, financings, and other transactional matters
What We Are Looking For
The ideal candidate will have:
- A law clerk diploma and/or undergraduate degree
- ~ 8+ years of corporate law clerk experience, whether in-house, at a boutique firm, or at a larger law firm
- Strong working knowledge of the Business Corporations Act (Ontario) and the Canada Business Corporations Act
- Experience with corporate transactions, M&A closings, reorganizations, and corporate record-keeping
- Excellent attention to detail and the ability to manage competing priorities
- Strong communication skills and sound professional judgment
- The ability to work independently while also being collaborative and responsive
- Comfort with legal technology and an openness to modern, efficient ways of working
